[Regulations for Election of Directors and Inspectors]

 

1.     The election of Directors and Inspectors as provided for in Article 16 of the Regulations for Japanese Neural Network Society shall be in accordance with these Regulations, in addition to those provided for in the Regulations for Japanese Neural Network Society.

2.     The President shall appoint a few members of the Election Management Committee and organize the Election Management Committee.

 

3.     The Election Management Committee shall carry out clerical affairs for election at the order of the President.

 

4.     The number of Directors to be reelected shall be about half of the current number of Directors, which shall be determined by the residual term of incumbent Directors and determined by the Board of Directors.

 

5.     Candidates for Directors and Inspectors shall be recommended by the Board of Directors.

1)     The Board of Directors shall recommend the candidates (at least twelve) for Directors and Inspectors from among Regular Members; provided, however, that Regular Members who are Directors and Inspectors whose term at the time of recommendation for reelection has been four years shall be excluded from the reelection candidates.

2)     More than half the candidates for Directors and Inspectors shall be recommended from Members other than Directors and Inspectors up for reelection.

3)     Recommended candidates will not know in advance whether they are being considered for the position of Director or Inspector.

 

6.     The Election Management Committee shall prepare the list of candidates for Directors and Inspectors according to the recommendation by the Board of Directors. In the list, a blank column shall be placed, and a person not a candidate for Director or Inspector recommended by the Board of Directors under Article 7 may be entered.

 

7.     Each Regular Member shall elect a number of Directors and Inspectors that is equal to or less than the maximum number of Directors and Inspectors to be reelected from among the list of candidates under Article 6.

Regular Members participating in an election will not know in advance which position/span> Director or Inspector the candidates they are recommending will assume.

In particular, if a Member wants to elect a person not named in the list of candidates, the Member may enter the name of the person in the blank column of the list.

The number of Directors and Inspectors to be elected shall not exceed the number of Directors and Inspectors to be reelected.

 

8.     The Election Management Committee shall arrange the election results in order of votes obtained up to the number of Directors and Inspectors to be reelected and shall prepare the list of elected officials. If there is a tie between the candidates with the least number of votes and it cannot be determined which of them gets the remaining seats as Directors and Inspectors, candidates shall be determined in order of approval of admission (in case of readmission, the time of readmission), up to the number of Directors and Inspectors to be reelected; provided, however, that if the date of admission approval is the same, the older candidates wins.

2) The list of the candidates determined under paragraph 1, arranged in order of the Japanese syllabary, shall be submitted to the Board of Directors as the result of the election of Directors and Inspectors.

3) In the list, the number of votes obtained and the order of votes obtained shall not be indicated.

 

9.     The Board of Directors shall determine the Directors and Inspectors to be elected based on the election results of Directors and Inspectors prepared under Article 8.

 

10.  Incumbent Directors and newly elected Directors and Inspectors shall decide the President and the Vice President as follows:

1)     At the time of reelection of the President, the Board of Directors shall decide the next President from among the incumbent Directors and the newly elected Directors and Inspectors by a resolution of the Board of Directors.

2)     The next President decided under the preceding paragraph shall nominate the next Vice Presidents, which shall be decided by a resolution of the Board of Directors; provided, however, that at least one (1) Vice President shall be other than the incumbent Vice President.

3)     The Board of Directors shall decide Inspectors to be newly elected from among the incumbent Directors and the newly elected Directors and Inspectors other than the President and the Vice President by a resolution of the Board of Directors.

 

11.   Amendment of these Regulations shall require a resolution of the Board of Directors.

 

Supplementary Rule

These Regulations shall be in effect as of January 1, 2003.
